Terms & Conditions
1. License Agreement
The Licensor, Real Sales, grants the Licensee a non-exclusive, non-transferable license to use the Real Sales SaaS software for the duration of the subscription period.
2. Payment Terms
The Licensee shall pay the agreed-upon fees for the license as specified in the pricing plan. In the event of late payment, Real Sales reserves the right to suspend access to the software until payment is received.
3. Data Privacy and Security
Real Sales shall implement and maintain industry-standard data security measures to protect customer data. Both parties agree to comply with applicable data protection laws.
4. Service Level Agreement (SLA)
Real Sales commits to providing the software in accordance with the agreed-upon SLA, detailing response times and procedures for issue resolution.
5. Intellectual Property Rights
Real Sales retains all intellectual property rights to the software. Any customization or modifications made for the Licensee shall remain the property of Real Sales.
6. Termination Clause
Either party may terminate this agreement for cause with written notice. Termination shall not relieve the Licensee of the obligation to pay any outstanding fees.
7. Confidentiality
Both parties agree to keep confidential any proprietary or confidential information disclosed during the term of this agreement and for a reasonable period thereafter.
8. Support and Maintenance
Real Sales shall provide standard support and maintenance as part of the license fees. Premium support and custom development may incur additional charges.
9. Limitation of Liability
In no event shall Real Sales be liable for any indirect, incidental, special, or consequential damages. The total liability of Real Sales under this agreement shall not exceed the total fees paid by the Licensee.
10. Indemnification
The Licensee agrees to indemnify and hold Real Sales harmless from any claims, damages, or losses arising from the use of the software by the Licensee.
11. Governing Law and Jurisdiction
This agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of the UAE.
12. Integration and Customization
The Licensee may request integration with other systems or customization, subject to additional terms and fees as agreed upon by both parties.
13. Insurance
Real Sales shall maintain appropriate insurance coverage to protect against potential risks associated with the provision of the software.
14. Compliance with Laws
Both parties agree to comply with all applicable laws and regulations in the provision and use of the software.
15. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under this agreement due to events beyond its reasonable control.
16. Notices
Official notices under this agreement shall be delivered in writing and deemed effective upon receipt.
17. Dispute Resolution
Any disputes arising out of or in connection with this agreement shall be resolved through arbitration in accordance with the rules of the Dubai Courts, with the seat of arbitration in Dubai, UAE.
18 . Updates and Upgrades
Real Sales shall provide updates and upgrades to the software as part of the subscription. Any additional features or modules may be subject to additional charges.
